Welcome to Lytical! These Terms of Service ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
For the purposes of these Terms, "Lytical" refers to Lytical, Inc., a corporation established in Massachusetts, United States of America.

By accessing or using our Services, you confirm that you are at least 18 years old and capable of entering into a legally binding agreement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind the organization to these Terms.

We reserve the right to modify these Terms at any time. Any changes will be effective upon posting to our website. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
3. Use of Services
3.1 Eligibility
You must create an account to access certain features of the Services. You agree to provide accurate, complete, and updated information during registration and to keep this information current.

- Access or use the Services to copy, distribute, or modify any part of the platform without authorization.

When you login on a new device, you will remain logged in until you choose to logout. If you’re using a shared machine, we recommend logging out after each session.

Our Services may include integrations or links to third-party services. Lytical is not responsible for the availability, content, or practices of these third-party services. Your use of such services is subject to their terms and conditions.
5. Intellectual Property
All intellectual property rights in the Services, including but not limited to content, design, features, and functionality, are owned by Lytical or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes. You may not copy, reproduce, distribute, or create derivative works from any part of the Services without prior written consent from Lytical.
6. Beta Features
From time to time, Lytical may offer beta features or experimental functionality as part of the Services. These beta features are provided "as is" and may be subject to additional terms. Lytical makes no guarantees regarding their reliability or availability and reserves the right to modify or discontinue them at any time without notice.
7. Data Ownership
Users retain ownership of the data they provide to the platform. By using the Services, you grant Lytical a non-exclusive, worldwide license to process and use your data solely for the purpose of providing the Services.
8. Fees and Payment
8.1 Subscription Plans
Certain Services may require a paid subscription. Fees and payment terms will be outlined during the subscription process.
8.2 Refunds
Unless otherwise stated, all fees are non-refundable. Any disputes regarding charges must be reported within 30 days.
9. Privacy
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.
10. Termination

The Services are provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee that the Services will be error-free, secure, or uninterrupted.
13. Limitation of Liability
To the fullest extent permitted by law, Lytical will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
14. Arbitration Clause
Any dispute or claim arising out of or relating to these Terms or the use of the Services will be resolved through binding arbitration, rather than in court, except where prohibited by law. Arbitration will be conducted in accordance with the rules of the American Arbitration Association.
15. International Use
If you access the Services from outside the United States, you are responsible for ensuring compliance with local laws and regulations. Lytical makes no representations that the Services are appropriate or available for use in all locations.
16. Governing Law
These Terms are governed by the laws of the State of [Your State], without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Services will be resolved exclusively in the courts located in Middlesex County, Massachusetts.
17. Consent to process data
By using lytical, you consent to allow us to process and store your personal data. This consent may be revoked at any time by notifying us in writing that you would like to revoke your consent, and/or by deleting your user account which will delete all of the personal data we have about you. Please note that if you are the only user as part of an account, you must contact us first to deactivate your account and decide whether to delete all of your account’s site data (including your site scan, site user data, and event data).
